Terms of Use

These Terms of Use ("Terms") govern your access to and use of the PlatePal website and mobile application (collectively, the "Service") operated by Platepal Inc. ("PlatePal", "we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

2. Not Medical or Dietary Advice

Important Health Notice

PlatePal is a meal planning and nutrition organization tool. The meal plans, macro targets, calorie calculations, recipes, and all other content available through the Service are provided for general wellness and informational purposes only. Nothing in the Service constitutes medical advice, dietary counselling, or a substitute for the advice of a qualified healthcare professional.

Before starting any new diet, nutrition program, or exercise regimen — particularly if you have a medical condition, food allergy, eating disorder, or are pregnant or nursing — consult a licensed physician, registered dietitian, or other qualified healthcare provider. You assume full responsibility for how you use the information and content provided by the Service.

3. Nutritional Information

Calorie counts, macro breakdowns, and all other nutritional data displayed in the Service are estimates only. Actual values may vary based on ingredient sourcing, preparation methods, portion sizes, and measurement variation. PlatePal makes no representation or warranty regarding the accuracy or completeness of any nutritional information and is not liable for any reliance placed on it.

4. No Guarantee of Results

Individual results from using the Service — including but not limited to weight loss, muscle gain, performance improvement, or changes in body composition — vary significantly based on factors beyond our control (genetics, adherence, lifestyle, medical conditions, and others). PlatePal makes no warranty, express or implied, that use of the Service will produce any particular health or fitness outcome. Any results referenced in our marketing materials are illustrative only and are not guarantees.

5. Third-Party Creator Content

Recipes and other content available through the Service may be created by independent third-party creators. PlatePal does not author, endorse, or independently verify the accuracy, safety, or suitability of creator-submitted content. You use creator content at your own risk. PlatePal is not responsible or liable for any third-party content, including any errors, omissions, or potential allergen information contained therein.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Upload or transmit viruses, malware, or any other harmful code.
  • Scrape, copy, or redistribute content from the Service without prior written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service in a manner that could damage, disable, or impair its operation.

7. Intellectual Property

All content, trademarks, logos, and software comprising the Service are the property of Platepal Inc. or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent. Feedback or suggestions you provide to us may be used by us without restriction or compensation to you.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLATEPAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLATEPAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, HEALTH OUTCOMES, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLATEPAL'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PLATEPAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). IF YOU ARE A WAITLIST MEMBER OR FREE USER WHO HAS PAID NOTHING, PLATEPAL'S LIABILITY SHALL BE ZERO.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitation applies to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Platepal Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content you submit to or through the Service.

11. Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, and without liability to you. We may also update these Terms at any time. We will notify you of material changes by posting the revised Terms and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or the Service shall be resolved exclusively in the courts of Ontario, Canada. You irrevocably consent to the personal jurisdiction of those courts.

13. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PlatePal regarding the Service.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
  • No waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
